Vice President, Legal
Reports to: CEO


Position Summary
The Vice President, Legal serves as the Company's chief legal advisor and a member of the Executive Leadership Team. The role provides strategic leadership across legal affairs, corporate governance, securities compliance, enterprise risk management, regulatory matters, and Board governance. The Vice President partners closely with the CEO, executive leadership team, and Board of Directors to protect the Company's interests while enabling strategic growth, financing initiatives, acquisitions, and operational success.


This position oversees all legal matters for a TSX-listed issuer with U.S. operations and ensures compliance with applicable securities laws, corporate governance requirements, and regulatory obligations.


Primary Responsibilities


Executive Leadership


• Serve as strategic legal advisor to the CEO and Executive Leadership Team.
• Advise the Board of Directors and Board Committees on governance, fiduciary duties, and legal matters.
• Evaluate legal implications of strategic initiatives and business decisions.
• Lead legal support for major financing transactions, acquisitions, joint ventures, and strategic partnerships.
• Develop enterprise legal strategies aligned with corporate objectives.


Corporate Governance & Securities


• Serve as Corporate Secretary or oversee the corporate secretarial function.
• Lead governance processes for the Board and Committees.
• Oversee compliance with TSX and Canadian securities regulations.
• Direct continuous disclosure obligations including MD&A, AIF, annual and quarterly filings, proxy materials, and material change reporting.
• Advise on insider trading, disclosure controls, and governance best practices.


Enterprise Legal


• Oversee negotiation and execution of significant commercial agreements.
• Provide strategic legal guidance on operational, environmental, employment, procurement, and contractual matters.
• Direct management of litigation and external counsel.
• Establish legal policies, standards, and risk management practices across the Company.


Strategic Transactions


• Lead legal due diligence for acquisitions and divestitures.
• Structure and negotiate transaction documentation.
• Support capital raises and strategic investments.
• Provide legal oversight of mineral rights, land acquisitions, and development agreements.


Risk & Compliance


• Lead enterprise legal risk management.
• Oversee compliance programs across Canadian and U.S. jurisdictions.
• Monitor legislative developments affecting mining operations.
• Ensure regulatory readiness for audits, inspections, and governmental reviews.


Leadership
• Build and lead the legal function.
• Manage external legal advisors and specialized counsel.
• Develop internal governance processes and legal training programs.


Qualifications

• Juris Doctor (JD/LLB)
• Licensed to practice law in Canada
• 15+ years of progressive legal leadership
• Significant experience with TSX-listed public companies
• Extensive securities law and corporate governance expertise
• Cross-border Canadian/U.S. legal experience
• Mining or natural resources experience strongly preferred
• Demonstrated executive leadership and Board interaction experience
